Terms of Service

1. Nature of Business
Witham Systems is operated by Kieran Perham, trading as Witham Systems, providing done-for-you website design, lead capture setups, and business automation consulting for commercial trades and businesses across Lincolnshire and the wider United Kingdom.
2. Proposals & Digital Audits
The initial 15-minute discovery audit and any accompanying recommendations are provided without obligation. They are intended to identify potential areas for improvement and do not constitute a formal guarantee of specific revenue increases, lead volumes, or business outcomes. Actual results depend on factors outside our control, including market conditions and client implementation.
3. Intellectual Property
Upon receipt of full payment, custom design assets and client materials created specifically for your project belong to you. However, proprietary automation templates, reusable logic, underlying platform licences, and any pre-existing Witham Systems intellectual property remain the property of Witham Systems or their respective licensors. You are granted a non-exclusive licence to use such components as part of your delivered system.
4. Payment Terms & Deposits
Engagements are governed by standard commercial payment milestones. An initial deposit is payable prior to the commencement of any system build, with the balance due upon launch approval. Ongoing management and support, where agreed, are invoiced on the schedule set out in your individual proposal. All fees are stated in pounds sterling (£) and are exclusive of VAT where applicable.
Deposits are required before build work begins; balances are due on approved launch.
5. Third-Party Subscriptions
Unless explicitly bundled into a written agreement, you remain responsible for your own third-party software subscriptions and associated fees. This includes, without limitation, domain registration fees, Stripe transaction fees, and third-party phone, SMS, or carrier charges. We will always clearly identify any costs that are your responsibility before work commences.
6. Limitation of Liability & Governing Law
To the fullest extent permitted by law, the liability of Witham Systems for any claim arising out of or in connection with the services shall be limited to the total fees paid by you for the services giving rise to the claim during the preceding 12 months. We shall not be liable for indirect, consequential, or loss-of-profit damages.
These terms are governed exclusively by the laws of England and Wales, under the jurisdiction of the courts of England and Wales.
